Terms of Service

Last updated 25 August 2026

1. Who we are

Galinum is operated by NGB LAB SOLUTIONS LLC, 30 North Gould Street, Ste R, Sheridan, WY 82801, United States (“Galinum”, “we”, “us”). These terms form an agreement between Galinum and the entity or person that creates an account (“you”). By creating an account or using the service you accept these terms.

2. The service

Galinum is self-driving product communications software. You connect your product through our SDK and API. You or your AI agent create campaigns, choose the audience, and launch them. Galinum delivers the messages to your end users inside your product and measures the result.

You need an account to use the service. Keep your credentials and API keys secret. You are responsible for everything done with your account and keys.

We may change, add, or remove features. If a change materially reduces a feature you pay for, we will tell you by email.

3. Usage and billing

Galinum is pay-as-you-go. We bill for each monthly active user. A monthly active user is an end user that you identify, send an event for, that views a message inside your product, or that receives a campaign email during the billing period. Each user counts once per period, whatever the channel and however many messages they receive. The rates are listed on our pricing page. There is no subscription fee and no seat fee.

  • You need a payment method on file before we deliver anything. Without one we serve no messages and send no campaign email.
  • Active users are billed with graduated rates: each user is charged at the rate of the tier they fall into.
  • We charge usage in arrears, for the period in which the users were active.
  • There is no free allowance and no trial allowance.

You can set an optional spend cap in your billing settings. When your usage for the period reaches the cap, we stop serving messages for the rest of that period. You can raise or remove the cap at any time to resume. The cap is a delivery control, not a payment guarantee: usage accrued before the cap took effect stays payable.

Galinum-hosted agent runs are billed separately in AI credits at the rate on our pricing page. Agents you run yourself are not billed for AI credits. The default monthly limit is 2,500 credits, and an owner or admin can set it from 0 to 1,000,000. We check the limit before each hosted-agent sweep. A sweep admitted below the limit may finish above it; later sweeps pause until the period resets or you raise the limit.

We report finalized hosted-agent usage after each run. If we cannot confirm a report safely, or the billing state is unusable, we absorb that usage instead of charging you. The billing dashboard separates measured credits from credits reported for billing.

We bill in US dollars. Taxes are calculated at checkout and added to your charges. You are responsible for any tax that we must collect, and for supplying a correct tax identification number and address.

Payments are processed by Stripe. We charge your payment method automatically each billing period until you cancel. If a payment fails, we pause campaign email while we retry the payment, and we may stop serving messages until the payment succeeds.

4. Campaign email frequency

We deliver at most 3 campaign emails to the same project recipient in any rolling 24-hour window, across all campaigns in that project. A send above the limit is skipped, not delayed. We record it as “frequency capped” in campaign statistics, delivery records, and usage. A capped send is not billed.

Transactional service email, such as account and authentication email, is exempt from this limit.

Galinum sends campaign email. You keep your own transactional email provider for account, authentication, receipt, and other service messages. We do not deliver transactional email on your behalf.

Fair use and deliverability: campaign email is priced per monthly active user, not per message, so we protect the shared sending reputation that price depends on. You may only send campaign email to recipients who agreed to hear from you. We may throttle, pause, or stop campaign email for an organization whose sending harms deliverability, including sustained hard-bounce or spam-complaint rates, purchased or scraped lists, and volume far outside the pattern of the monthly active users billed. We will tell you by email when we do, and we will work with you to restore sending.

When a recipient unsubscribes or is suppressed, that suppression applies to campaign email only. It does not reach your own transactional provider, so you stay responsible for honoring opt-outs in the email you send yourself.

5. Cancellation and refunds

  • You can cancel anytime in the Customer Portal from your billing settings. After the cancellation takes effect, we stop serving messages and sending campaign email.
  • Usage accrued before the cancellation takes effect remains payable.
  • Fees are non-refundable, except for a billing error on our side or where the law requires a refund.
  • Send billing-error claims to support within 30 days of the charge.

We may suspend or end your account if you break these terms, if we must do so by law, or if your account puts the service or other users at risk.

6. Acceptable use

You must not use Galinum to:

  • Send unlawful, deceptive, harassing, hateful, or infringing content.
  • Message people who are not your own end users, or send content unrelated to your product without a lawful basis.
  • Break, overload, probe, or reverse engineer the service, or work around its limits and security controls.
  • Resell or share access outside your organization, unless we agree in writing.
  • Upload malware, or content that violates someone's privacy or intellectual property rights.

You own your content and your end-user data. You give us the licence we need to host, process, and deliver that content to run the service. You confirm that you have the right to send the content and to share the end-user data with us.

7. Privacy and data

Our Privacy Policy explains what we collect and how we use it. For end-user data that you send us, you are the controller and we are the processor: we process it to run the service and follow your instructions.

8. Disclaimers

The service is provided “as is” and “as available”. To the maximum extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any campaign will reach a specific business result.

Galinum can generate message content automatically. You are responsible for reviewing and approving what you send to your end users.

9. Limitation of liability

To the maximum extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total liability for any claim relating to the service is limited to the fees you paid us in the 12 months before the event that caused the claim.

These limits do not apply where the law does not allow them.

10. Changes to these terms

We may update these terms. We will post the new version here with a new “last updated” date. For material changes we will also email account owners. Continued use after a change means you accept the new terms.

11. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. The courts located in Wyoming have exclusive jurisdiction, and both parties consent to that venue.
